The Organisation:

Our client, an Asset Management company, is looking for a Company Secretarial Officer to join their highly respected team.

The Role:
Responsibilities include:

  • Overall responsibility for designated portfolio of companies and committees, including but not limited to:
  • organising board and committee meetings for a portfolio of group entities, including liaison with board/committee members to make suitable arrangements for attendance 
  • preparation of board packs
  • preparation of board and committee minutes
  • maintaining statutory records
  • Incorporating new companies
  • implementing corporate actions (such as change of director)
  • reviewing files and maintaining the companies in good standing in their respective jurisdictions
  • ensuring that all company secretarial activities are carried out in compliance with legal and regulatory requirements
  • managing ratification/signing of documents tabled at meetings
  • preparing all necessary tax and statutory returns to the various authorities
  • monitoring implementation of board resolutions
  • liaising with internal and external counsel, auditors and directors
  • acting as point of reference in relation to requests for information and documentation from board/committee members, internal and external counsel, auditors, and other third parties
  • assisting with compliance related activities of group entities
  • administration & Annual Reviews

The Person:
You will possess the following key characteristics:

  • Company secretarial background – Min 3 years 
  • Sound understanding of the Jersey legal and regulatory environment
  • Ability to understand and distil discussions surrounding complex strategic and management issues 
  • Proficient minute writing
  • ICSA qualified or studying
  • Self motivated to deliver a quality service with good personal time management skills. 
  • Able to take ownership of problems and see through to resolution 
  • Ability to communicate clearly and work effectively 
  • Good organisational and time management skills 
  • Good standard of oral and written communication skills 
  • Self motivated and able to work autonomously to instruction
