 KEY RESPONSIBILITIES:

  • Support the Company Secretarial team in organising board and committee meetings for Group entities
  • Organise the production and distribution of board packs to directors and relevant contributors
  • Maintain statutory records and prepare all necessary tax and statutory returns to the various authorities and regulators
  • Manage ratification/signing/filing of documents tabled at meetings
  • Monitor completion of matters arising from board meetings and board resolutions
  • Liaise with internal and external counsel, auditors and directors
  • Ensure that all company secretarial activities are carried out in compliance with legal and regulatory requirements
  • Assist with compliance related activities of group entities; reviewing files and maintaining the companies in good standing in their respective jurisdictions

QUALIFICATIONS AND EXPERIENCE:

  • Strong educational background
  • At least 3 years company secretarial department background
  • Attained [or be studying towards] ICSA qualifications, i.e. Diploma in Corporate Governance
  • Preferably previous experience working in fund sector with understanding of regulatory requirements
  • Possess a good appreciation of company law concepts
