Company Secretary, Family Office
Apply for this jobOur client, a successful and growing family office, is seeking an experienced Company Secretary to work closely with the Legal Counsel and KYC Administrator.
This role will take responsibility for the corporate governance and company secretarial function across a portfolio of entities, with a particular focus on board administration, statutory compliance, entity management, and regulatory filings.
This is a broad and varied opportunity offering significant exposure within a collaborative environment, with scope to take on increasing responsibility as the organisation continues to grow.
KEY RESPONSIBILITIES:
- Prepare and coordinate board and committee packs
- Draft board and committee minutes and maintain accurate corporate records
- Maintain statutory books and records across relevant entities
- Ensure compliance with all applicable legal, regulatory, and governance requirements
- Manage corporate filings and support entity administration activities
- Work closely with Legal Counsel on corporate transactions, governance matters, and contract administration
- Liaise with the KYC Administrator to ensure the accuracy and integrity of entity and client records
- Monitor legislative and regulatory developments and assist with implementing any required changes
- Identify and implement process improvements to enhance the efficiency of the governance framework
- Support the establishment and onboarding of new entities and related governance processes
QUALIFICATIONS AND EXPERIENCE:
- Proven experience within a company secretarial or corporate governance role
- Relevant professional qualification (CGI/ICSA qualification preferred)
- Strong understanding of corporate governance and regulatory requirements
- Experience working with multiple entities or complex corporate structures would be advantageous
