We are supporting a leading financial services organisation in the appointment of a Group Company Secretary to play a pivotal role in strengthening the organisation’s governance framework across multiple jurisdictions. This is a senior position suited to an experienced governance professional who enjoys operating at board level, providing strategic guidance, and ensuring the highest standards of corporate governance. The successful candidate will work closely with the Board of Directors and senior leadership, acting as a trusted advisor on governance, regulatory, and statutory matters across the Group.

KEY RESPONSIBILITIES:

  • Lead and maintain the Group’s governance framework across multiple jurisdictions
  • Provide company secretarial support to the Board and Committees, ensuring effective governance and compliance with statutory obligations
  • Ensure the Group adheres to regulatory and statutory requirements, maintaining high standards of corporate governance
  • Oversee the preparation and coordination of Board and Committee meetings, including agendas, papers, and minutes
  • Advise the Board and senior management on corporate governance, regulatory developments, and company law requirements
  • Manage relationships with regulators, external advisors, and key stakeholders where required
  • Ensure compliance with relevant stock exchange rules where applicable
  • Support governance across group entities, ensuring consistency and best practice in company secretarial processes

QUALIFICATIONS AND EXPERIENCE: 

  • CGI qualified or equivalent relevant qualification
  • Minimum 7 years’ experience in a similar role within financial services
  • Strong knowledge of Company Secretarial practices and Guernsey Company Law, including offshore funds and relevant stock exchange rules where applicable
  • Knowledge of company secretarial practices and company law across other jurisdictions would be advantageous
  • Experience supporting Boards and Committees at a senior level
  • Good understanding of the regulatory landscape within financial services

  • Excellent communication and stakeholder management skills, with the confidence to engage at Board level
  • Highly organised with exceptional attention to detail and governance discipline
  • Ability to interpret complex regulatory requirements and provide clear, practical advice
  • Discreet, professional, and able to handle confidential and sensitive information
  • Must be Entitled or Entitled to work in Jersey
