Our client is currently looking to recruit a Legal Counsel, to join a leading private equity investor. 

The successful candidate will have the opportunity to develop their career by gaining experience working in-house with a well respected member of the finance industry.

KEY RESPONSIBILITIES:

• To provide dedicated legal and corporate governance support to support the company
• To advise the Directors and the wider organisation on Jersey legal, commercial and emerging regulatory issues arising from developments to law and regulation
• Overseeing all Company Secretarial matters for the Company and its SPVs, including acting as the Company Secretary, to ensure best in class corporate governance in line with local substance requirements
• Director on the boards of certain unregulated SPVs of the Company
• Act as Member of the Risk and Compliance Committee
• Acting as the principal legal contact for the Company in Jersey and taking responsibility for the drafting, negotiating and/or review of legal documents
• Advising on the interpretation of laws and regulations to ensure that the Company’s operations and investments are legally competent on an ongoing basis
• Liaising with key internal and external parties
• Ensuring that all work completed complies with Company compliance processes and procedures
• Ensuring that any other reasonable task of a legal nature requested is completed on time and accurately

QUALIFICATIONS AND EXPERIENCE:

• Solid legal knowledge (5+ PQE) and experience required in the areas of corporate/finance/funds/private equity, with experience in corporate administration a bonus
• To include some cross-border/international experience
• A sound knowledge of Jersey companies’ law is essential, with some experience of financial services law / regulation also preferred
• An understanding of Jersey AML legislation sufficient to fulfil the role of Deputy MLRO in the Officers absence
• An understanding of regulatory influences that apply
